Vendor Master Subscription Agreement Overview Agreement Type: This Master Subscription Agreement governs your purchase and use of services provided by FREE ADVERTS Limited. Parties: FREE ADVERTS Limited, referred to as "we" or "us," and you, either as an individual or the entity you represent. Eligibility Individual Use: If you are using the services personally, you confirm you are 18 years or older or of legal majority in your jurisdiction. Organizational Use: If using on behalf of an entity, you confirm you have the authority to bind that entity to these terms. Acceptance of Terms Effective Date: The agreement is effective when you start using the services, click "I Accept," or create an account. Data Usage: By using our services, you consent to our data collection and usage as outlined in our privacy policies. Non-EU Services Provision GDPR Compliance: We do not operate within EU territories and are not GDPR compliant. User Consent Acknowledgement: By using our services, you accept these terms. If you disagree, you should not use our services. Authority: If you are representing a business or entity, you confirm you have the authority to agree to these terms on its behalf. Subscription and Fees Plan Subscription: You choose a subscription plan and agree to pay the corresponding fees. Renewal: Subscriptions auto-renew unless cancelled in writing. No Refunds: Payments are non-refundable, regardless of usage. Service Specifics Integration with WhatsApp Business API: Our services rely on WhatsApp Business API, and any changes by WhatsApp may affect our services. Conversation Charges: Fees set by Meta Platforms, Inc., and subject to change without refunds of previously paid charges. Intellectual Property Ownership: All content and technology provided through our services are owned by us or our licensors. Use License: You are granted a limited, non-exclusive right to use the services for personal purposes only. User Responsibilities Lawful Use: You agree to use the services lawfully and not to engage in any activity that could harm us or our service providers. Liability and Limitations Exclusions: We are not liable for losses or damages arising from your use of the services beyond what is permitted by law. Force Majeure: We are not responsible for delays or failures in service due to circumstances beyond our control. Miscellaneous Jurisdiction: These terms are governed by the laws of Kenya, and disputes will be subject to the jurisdiction of courts in Kenya.
